1. Acceptance of Terms

1.1 By downloading, accessing, or using the ZOTO mobile application, website, or related services (collectively, the "Platform"), you ("User", "you") agree to be bound by these Terms and Conditions ("Terms"), the Privacy Policy, Cookie Policy, Community Guidelines, and Refund & Cancellation Policy, each incorporated by reference.

1.2 If you do not agree, you must not access or use the Platform.

1.3 You represent you are at least 18, or the age of majority in your jurisdiction, with full legal capacity to contract. ZOTO does not knowingly permit use by minors; parents/guardians who believe a minor has registered should contact hello@zoto.ie.

1.4 These Terms apply to all ZOTO offerings: subscription tiers, visa appointment alerts, parcel forwarding, discounted partner offers, accommodation listings, part-time job and job-referral boards, loyalty/rewards, and community/social features (Desi, Latin, Oriental, and other Community hubs).

2. Description of Services and Disclaimers

2.1 Nature of the Platform. ZOTO aggregates third-party offers, alerts, listings, and community content as an intermediary/facilitator. Unless expressly stated, ZOTO is NOT:

• (a) an immigration law firm, visa consultancy, or government authority — visa alerts are informational only, with no guarantee of appointment availability, visa approval, or accuracy of third-party government portal data;
• (b) an employer, recruiter, or staffing agency — job referrals/listings come from partner brands/community members; no guarantee of employment, wages, or conditions;
• (c) a logistics/customs carrier — parcel forwarding may be fulfilled via third-party couriers/customs brokers; ZOTO's liability is limited to facilitation (Clause 9);
• (d) a licensed retailer — discounts/cashback/partner offers are provided by independent merchants under their own terms.

2.2 No Professional Advice. Nothing on the Platform is legal, immigration, tax, financial, or medical advice. Users must independently verify visa requirements with official consulates/embassies.

2.3 ZOTO may modify, suspend, or discontinue any feature or the entire Platform at any time, at its sole discretion.

3. Account Registration and Security

3.1 You must provide accurate, current, complete registration information (name, email, phone, nationality/visa status where relevant, payment details) and keep it updated.

3.2 You are solely responsible for credential confidentiality and all activity under your account. Notify hello@zoto.ie immediately of unauthorized use.

3.3 ZOTO may suspend/terminate accounts suspected of fraud, misrepresentation (e.g., false nationality claims to access community hubs), referral/loyalty abuse, or Terms violations.

4. Subscription, Billing, and Payments

4.1 Tiers. Free features and a paid subscription (as shown at checkout) unlocking premium features.

4.2 Payment Processing. Payments are processed via Stripe, Inc. or other processors; ZOTO does not store full card numbers. By subscribing, you authorize recurring charges until cancelled.

4.3 Auto-Renewal. Subscriptions auto-renew each billing cycle at the then-current price unless cancelled at least 48 hours before renewal via in-app settings.

4.4 Price Changes. ZOTO may change prices with at least 30 days' notice; continued use after the effective date constitutes acceptance.

4.5 Taxes. Prices may exclude VAT/GST and customs duties on forwarded parcels; you are responsible for applicable taxes/duties.

4.6 Refunds/Cancellations. Governed by the separate Refund & Cancellation Policy. EU/EEA consumers retain statutory 14-day withdrawal rights under Directive 2011/83/EU, subject to exceptions for digital content already consumed.

5. Partner Brands, Discounts, and Loyalty

5.1 Discounts, cashback, and loyalty points are offered via independent third-party merchants ("Partner Brands"). ZOTO is not liable for Partner Brand quality, availability, pricing errors, or fulfillment.

5.2 Social-media-based discount activation requires compliance with the relevant platform's own terms; you grant ZOTO a limited license to feature such promotional content per Clause 7.

5.3 Loyalty points have no cash value, are non-transferable/non-exchangeable, and may expire or be forfeited on account termination.

5.4 ZOTO may audit, adjust, or revoke credits obtained through fraud, fake referrals, or abuse (self-referral, bot accounts).

6. Job Referrals and Job Listings

6.1 ZOTO does not verify, endorse, or guarantee any listing's legitimacy, legality (including the User's work-permit/visa eligibility), compensation, or safety.

6.2 Users are solely responsible for verifying their legal right to work in the relevant jurisdiction before accepting any job/referral. ZOTO disclaims liability for immigration violations from unauthorized employment.

6.3 Members posting referrals represent they have authority to do so and indemnify ZOTO against claims from false/misleading postings.

7. User Content and Community

7.1 By posting content (community posts, reviews, promotional shares, event listings), you grant ZOTO a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, adapt, and display it for operating and promoting the Services.

7.2 You warrant your content does not infringe third-party IP, is not defamatory, discriminatory, obscene, or unlawful, and does not disparage any nationality, ethnicity or community group represented in the Community hubs.

7.3 ZOTO may moderate, remove, or restrict access to content/accounts violating the Community Guidelines (hate speech, harassment, scams, fraudulent referral/discount abuse).

7.4 ZOTO acts as an intermediary under applicable safe-harbor provisions (e.g., Section 79, India IT Act 2000; EU Digital Services Act Arts. 4–6) and will act on valid takedown notices without assuming liability absent actual knowledge and failure to act.

8. Intellectual Property

8.1 The ZOTO name, logo, app design, and underlying software, databases and content (excluding User Content and Partner Brand marks) are the exclusive property of ZOTO or its licensors.

8.2 You receive a limited, revocable, non-transferable, non-exclusive license to use the Platform for personal, non-commercial purposes only.

9. Limitation of Liability and Indemnity

9.1 To the maximum extent permitted by law, ZOTO and its directors, employees, and affiliates are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, visa opportunities, or employment.

9.2 ZOTO's aggregate liability for any claim shall not exceed the greater of (a) amounts you paid ZOTO in the preceding 12 months, or (b) €50.

9.3 Nothing excludes liability that cannot be excluded under applicable consumer protection law (gross negligence, willful misconduct, death or personal injury, fraud).

9.4 You indemnify ZOTO against claims arising from your breach of these Terms, misuse of the Platform, violation of any law (including immigration or work-permit law), or infringement of third-party rights.

10. Governing Law and Disputes

10.1 Governed by the laws of [Primary Jurisdiction], without regard to conflict-of-law rules.

10.2 EU/EEA Consumers retain mandatory consumer-law protections of their country of residence and the right to sue in their home courts under Brussels I Recast Regulation (EU) 1215/2012.

10.3 Disputes are first subject to good-faith negotiation, then binding arbitration under [Arbitration Rules], seated in [City], in English, unless mandatory consumer law provides otherwise.

10.4 Class-action and jury-trial waivers apply where legally permitted (unenforceable against EU consumers).

11. Termination

11.1 You may delete your account anytime via Profile → Edit profile → Privacy & data, or by emailing hello@zoto.ie.

11.2 ZOTO may suspend or terminate access immediately for breach, fraud, non-payment, or legal/regulatory requirement, with or without notice.

11.3 Clauses 7–10 and accrued rights and obligations survive termination.

12. Visa and Immigration Disclaimer

ZOTO is not a government agency, consulate, embassy, or licensed immigration advisor. Visa appointment alerts are based on publicly available third-party data and may be delayed, inaccurate, or unavailable. ZOTO does not guarantee appointment slot availability or visa approval. Always verify directly with the relevant embassy or consulate, or the official appointment system. Reliance on ZOTO's alerts is at your own risk.

13. Miscellaneous

13.1 Entire Agreement — these Terms plus incorporated policies constitute the full agreement.

13.2 Severability — unenforceable provisions do not void the remainder.

13.3 Amendments — ZOTO may amend these Terms; material changes are notified at least 15 days ahead via email or in-app notice.

13.4 Force Majeure — ZOTO is not liable for delays from events beyond reasonable control (embassy closures, courier strikes, payment processor outages, regulatory change).
